GSM Chatbot Disclaimer and Terms of Service ("Terms")

Welcome to Nexteer"s GSM chatbot! Before you begin using our artificial intelligence (AI) chat service ("Service"), please take a moment to read the following terms and disclaimer, which applies to the use of the Service:

1. Purpose, Nature and Scope
1.1 The Service is provided by Nexteer Automotive Corporation ("Nexteer") on its own behalf and on behalf of its affiliates ("Nexteer Group"). It is designed to assist current and potential suppliers and partners with inquiries about Nexteer's purchasing policies, processes and procedures.

1.2 The Service uses generative AI, powered by Microsoft"s Azure OpenAI Service using fine-tuned GPT models, which is programmed to provide helpful information and assistance based on its analysis of certain Nexteer purchasing documents and predefined algorithms. Nexteer regularly monitors the Service's completion (outputs) and makes periodic adjustments.

1.3 The Service is provided for informational purposes only. Users should not rely on the Service's completion and must refer to Nexteer's official purchasing policies and procedures, which are available at and/or through an authorized representative of Nexteer"s purchasing organization ("Buyer").

1.4 Nexteer prohibits the use of the Service for processing content or generating content that can inflict harm on individuals or society. Content provided as input to the Service and content intended to be generated as output from the service must not be exploitative, abusive, violent, or harmful. applies accordingly.

2. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

NEXTEER DISCLAIMS ANY WARRANTY AS TO ACCURACY, RELIABILITY, COMPLETENESS, OR UP-TO-DATE NATURE OF THE INFORMATION PROVIDED. USERS ARE ENCOURAGED TO VERIFY CRITICAL INFORMATION AND CONSULT WITH A BUYER FOR SPECIFIC CONCERNS OR DECISIONS. NEXTEER DOES NOT ASSUME LIABILITY FOR THE SERVICE"S COMPLETION AND USERS"S ACTIONS TAKEN BASED THEREUPON.

3. No Legal Relationship
Other than provided in these Terms, interaction with the Service does not create or modify any legal relationship with Nexteer. All formal relationships and agreements with Nexteer are governed by Nexteer"s policies, procedures, and appliable contracts, if any.

4. Data Collection, Recording, and Processing
4.1 All interactions with the Service may be recorded for the purpose of improving the Service"s performance and for marketing purposes.

4.2 The recorded data will be used solely for the improvement of the Service"s functionality and for marketing purposes related to Nexteer Group"s products and services. Nexteer stores recorded data for up to 3 months.

4.3 Azur OpenAI Service stores all prompts (inputs) and generated content securely for up to thirty (30) days to detect and mitigate abuse.

5. Data Privacy and Use
5.1 We respect your privacy and are committed to protecting your personal information. Users are prohibited from submitting any confidential, proprietary, or personally identifiable information to the Service. The Service is not equipped to handle such information.

5.2 Any personal identifiable data collected is handled in accordance with Nexteer"s . Users understand that while Nexteer takes measures to protect your data, we cannot guarantee absolute security.

6. Modification of Terms and Service:
Nexteer may modify these Terms and the functionality of the Service from time to time without prior notice and will provide notice of material changes by posting the revised Terms on the Service website. User's continued use of the Service constitutes acceptance of the revised Disclaimer.

7. Governing Law:
These Terms are governed by the laws of the United States of America and the State of Michigan, without regard to conflict of law principles. Each party irrevocably submits to the exclusive jurisdiction of and venue in the United States District Court for the Eastern District of Michigan or in any state court of Michigan sitting in Oakland County, Michigan, and specifically waives any and all objections to such jurisdiction and venue for any disputes arising out of these Terms or use of the Service.
